1. Agreement to these Terms
These Terms of Service ("Terms") form a binding legal agreement between you and JobsApply (sole proprietorship) (the "Service", "we", "us", "our"). By creating an account, accessing, or using the Service, you accept these Terms and our Privacy Policy, Acceptable Use Policy, Cookie Policy, and Refund Policy, each of which is incorporated by reference. If you do not accept them, you must not use the Service.
2. Who may use the Service — eligibility and geographic availability
The Service is offered worldwide except where prohibited by applicable law and except in any jurisdiction we list from time to time in our geographic-availability notice. By using the Service you represent and warrant that:
- you are at least eighteen (18) years of age (or the age of majority in your jurisdiction if higher) and have legal capacity to enter into these Terms;
- you are accessing the Service from a jurisdiction where its use is lawful, and your use does not violate any law or regulation applicable to you;
- you are legally entitled to work in any jurisdiction to which you submit a job application through the Service (this is your responsibility to verify);
- all information you provide about yourself is true, accurate, and your own; where you provide information about third parties (such as references), you have the authority to do so;
- you are not located in, under the control of, or a national or resident of any country that is subject to comprehensive trade sanctions or embargo maintained by Canada, the United States, the European Union, the United Kingdom, the United Nations, or another competent authority, and you are not on any denied-parties or sanctions list maintained by any of those authorities;
- your use of the Service does not violate any law, regulation, or agreement (including any third-party website's terms of service) binding on you.
We may refuse, suspend, or terminate any account that we believe does not meet these requirements, without refund and without liability.
3. The Service
JobsApply provides a job-search and job-application management platform that uses artificial intelligence to help you track opportunities, generate application documents (resumes, cover letters, answers), and — when you choose — automate parts of the job-application process, including logging into third-party job sites on your behalf and submitting applications using information you provide.
We reserve the right, at any time and at our sole discretion, to add, change, suspend, remove, or discontinue any feature, usage limit, tier definition, or other aspect of the Service, with or without notice and without liability to you. We will use reasonable efforts to notify paying subscribers of material reductions in functionality that affect them.
4. Your account and credentials
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You must notify us promptly of any unauthorized access.
- You must provide accurate registration information and keep it current.
- One person per account. You may not share accounts, resell access, or create accounts by automated means.
- You may store credentials for third-party job sites in the Service. Those credentials are encrypted at rest. You represent that you have the right to provide them and that doing so does not violate the terms of the third-party site.
- We may require additional verification (including multi-factor authentication) at our discretion.
5. Subscriptions, billing, taxes, and price changes
- Free and paid tiers are described on the pricing page. Paid subscriptions automatically renew at the end of each billing period until you cancel.
- Prices are displayed on the pricing page in the currency you are billed in (which depends on your Stripe billing address). Applicable taxes (including sales tax, VAT, GST/HST/QST/PST, and similar) are added at checkout based on your billing address; Stripe Tax performs the calculation.
- Payments are processed by Stripe. We do not store your full card number.
- You may cancel at any time through the billing portal. Cancellation stops future renewals; you retain access until the end of the current billing period.
- 5.1 Right to change prices, usage limits, and tier contents.
We may at any time change:
- the price of any subscription, whether by increasing, decreasing, or restructuring it;
- the usage allowances included in any tier (including but not limited to auto-apply counts, AI action budgets, document generation limits, and job import limits);
- the features included in any tier; and
- the billing period or billing mechanics.
- 5.2 Billing authorization. You authorize us and Stripe on our behalf to charge your payment method for the applicable fees and taxes until you cancel. You authorize us to retry a failed charge according to reasonable industry practice.
- 5.3 Refunds are handled under our Refund Policy. Nothing in these Terms limits statutory refund rights that cannot lawfully be waived in your jurisdiction (for example the EU distance-selling cooling-off right set out in the Refund Policy).
- 5.4 Chargebacks. Initiating a chargeback without first contacting us at billing@jobsapply.app may result in immediate suspension of your account.
6. AI-generated content — important disclaimers
- The Service uses third-party AI models to produce drafts of resumes, cover letters, application answers, and related content ("AI Output"). The categories of service providers we use are described in the Privacy Policy.
- AI Output is provided as a draft for your review. It may contain errors, misstatements, fabrications, outdated information, content that is biased, inappropriate, or offensive, or content that infringes third-party rights. You are solely responsible for reviewing, correcting, and approving AI Output before using it.
- We disclaim any warranty that AI Output is accurate, complete, current, non-infringing, non-discriminatory, suitable for any particular purpose, or compliant with any employer's, platform's, or regulator's requirements — including but not limited to truth-in-advertising, consumer-protection, employment, non-discrimination, licensing, or professional-regulation rules.
- If any employer, school, platform, or regulator requires disclosure that application materials were prepared with AI assistance, complying with that requirement is your responsibility.
- As between you and us, you own any AI Output generated from your inputs. We claim no copyright in AI Output produced for you. We make no representation about whether AI Output is protectable under the copyright or related laws of your jurisdiction.
- You acknowledge that AI models can reflect biases present in their training data. We do not guarantee that AI Output will be free of bias.
7. Auto-Apply — your authorization and responsibilities
- When you enable Auto-Apply, you authorize us (and our automation running under your direction) to act as your agent, which may include: logging into third-party websites using credentials you provide; creating accounts on those sites; accepting those sites' terms of service on your behalf; completing and submitting application forms; and uploading documents you have provided.
- You are solely responsible for compliance with any third-party website's terms of service, rules about automation, robots.txt, rate-limit provisions, and application instructions. Some sites and some employers prohibit automated applications. Determining whether automation is permitted for any given site or employer is your responsibility, not ours.
- We do not guarantee that any application will be delivered, received, opened, read, or considered, and we are not responsible for any hiring decision of any kind.
- We may, at our sole discretion and without refund, disable Auto-Apply for any site, employer, or user at any time — for example if a third party asks us to stop, if we believe a site's terms prohibit it, if we receive a takedown or cease-and-desist notice, or if we believe your use is harmful.
- You represent that every piece of information submitted through Auto-Apply is truthful, not misleading, and yours to submit. Submitting false information to an employer may expose you to civil or criminal liability. We are not responsible for any such consequences.
- You authorize us to retain screenshots and logs of Auto-Apply sessions as described in the Privacy Policy, including for the purpose of defending ourselves against any claim related to your use of the feature.
8. Acceptable use
Your use of the Service is subject to our Acceptable Use Policy, incorporated by reference. Without limiting it, you may not:
- submit false, misleading, or fraudulent information to any employer, platform, or third party through the Service;
- impersonate any person or misrepresent your affiliation with any person or entity;
- use the Service to apply for positions on behalf of anyone other than yourself;
- scrape, crawl, harvest, resell, or repurpose data from the Service or from any third party beyond what is necessary for your own job search;
- interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service or its infrastructure;
- reverse engineer, decompile, or attempt to derive the source code of any part of the Service, except to the extent such restriction is prohibited by law;
- use the Service to build or train any competing product, AI model, or dataset;
- use the Service in violation of any applicable law, regulation, or the rights of any third party.
9. Your content
You retain all rights to information and materials you upload or enter into the Service ("Your Content"). You grant us a non-exclusive, worldwide, royalty-free, sublicensable licence to host, process, transmit, display, store, and create technical and derivative copies of Your Content solely to operate, secure, improve, and provide the Service to you, and to comply with law. This licence ends when you delete Your Content or your account, subject to the limited retention rules in the Privacy Policy. You warrant that you have all rights necessary to grant this licence and that Your Content does not violate any law or any third party's rights.
10. Our intellectual property
The Service, its software, design, branding, and content we provide (other than Your Content and AI Output generated for you) are our property or licensed to us, and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal job search in accordance with these Terms. Nothing else is granted.
11. Feedback
If you send us suggestions, ideas, or feedback, you grant us an irrevocable, perpetual, worldwide, royalty-free, sublicensable licence to use them without any obligation to you.
12. Third-party services and websites
The Service interacts with third-party services and websites (AI providers, job boards, employer application systems, payment processors, identity providers, and others). We are not responsible for, and do not endorse, any third party's content, policies, practices, availability, or decisions. Your use of a third-party service is governed by that service's own terms. When you use Auto-Apply to interact with a third-party site, you are responsible for complying with that site's terms and with any applicable law that governs automated access to that site.
13. Disclaimers — the Service is provided "AS IS"
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. We expressly disclaim all warranties and conditions — express, implied, statutory, or otherwise — including warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, title, accuracy, uninterrupted or error-free operation, freedom from viruses or harmful components, and any warranty arising from course of dealing or trade usage.
Without limiting the foregoing, we do not warrant: that the Service will meet your requirements; that any job application submitted through the Service will be received, considered, or result in an offer or interview; that AI Output is correct, current, complete, or suitable; that any third-party website's terms of service will permit the use you make of the Service; or that the Service will be available at any particular time or in any particular jurisdiction.
Some jurisdictions do not permit the exclusion of certain warranties. In those jurisdictions, the above exclusions apply only to the extent permitted by law, and you may have additional statutory rights that cannot be waived. Nothing in these Terms affects any such mandatory rights.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, or employment opportunity, arising out of or related to the Service, whether based in contract, tort (including negligence), statute, strict liability, or any other legal theory, and even if we have been advised of the possibility of such damages;
- our total cumulative liability to you for all claims relating to the Service will not exceed the greater of (a) the total amount you actually paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) USD $100 (or the equivalent in your billing currency).
These limitations apply to the fullest extent permitted by law. Nothing in these Terms excludes or limits our liability for: fraud or fraudulent misrepresentation; death or personal injury caused by our negligence; any liability that cannot be excluded or limited under the mandatory law of your jurisdiction; or any non-excludable consumer-protection right in your jurisdiction.
15. Indemnification
You agree to defend, indemnify, and hold harmless us, our operators, agents, contractors, and service providers from and against any claim, demand, action, loss, liability, damage, fine, cost, or expense (including reasonable legal fees) arising out of or related to:
- your use of the Service, including your use of Auto-Apply and AI Output;
- your violation of these Terms, the Acceptable Use Policy, the Privacy Policy, or any applicable law;
- your violation of any third-party website's terms of service, rules, or policies (including job boards and employer application systems);
- any information, document, or statement you submit through the Service, including any claim that it is false, misleading, infringing, or otherwise unlawful;
- any claim by an employer, platform, recruiter, or other third party relating to applications submitted through your account.
We may assume the exclusive defence of any matter subject to indemnification by you, in which case you agree to cooperate with our defence. You may not settle any matter without our prior written consent. This indemnification does not apply where it is unenforceable under the mandatory law of your jurisdiction.
16. Suspension and termination
- You may stop using the Service at any time and may cancel your subscription and delete your account through the account settings.
- We may suspend or terminate your access, with or without notice, if we believe you have violated these Terms or the Acceptable Use Policy, have engaged in fraudulent or unlawful conduct, pose a risk to us, other users, or third parties, or if we are required to do so by law or by a third-party service provider we depend on.
- On termination, your right to use the Service ends immediately. We will delete or anonymize your account data in accordance with the Privacy Policy. Sections that by their nature should survive termination (including Sections 6, 9, 10, 13, 14, 15, 17, 19, and 20) will survive.
- We may also discontinue the Service in whole or in part at our discretion, with reasonable notice to paying subscribers. In that case we will stop charging you and will provide a reasonable opportunity to export Your Content.
17. Dispute resolution, governing law, and forum
- Informal resolution first. Before starting any formal proceeding, you agree to contact us at legal@jobsapply.app with a written description of your claim and to allow us thirty (30) days to attempt to resolve it.
- Governing law. These Terms, and any dispute arising out of or related to them or the Service, are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules, except that if you are a consumer in another jurisdiction, the mandatory consumer-protection rules of that jurisdiction also apply to you to the extent they cannot lawfully be waived by contract. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
- Forum. The courts of Ontario, Canada have non-exclusive jurisdiction over any dispute. You may also bring an individual claim in any other court of competent jurisdiction that applicable law requires to be available to you (such as the courts of your country of residence, where applicable consumer law so provides).
- Small-claims carve-out. Nothing in these Terms prevents either party from bringing an individual claim in a small-claims court (or equivalent) within its monetary limits, in either party's home jurisdiction.
- No class proceedings (where permitted). To the maximum extent permitted by applicable law, each party waives any right to participate in a class, collective, or representative proceeding against the other. Disputes must be brought on an individual basis. This waiver does not apply where it is prohibited by the mandatory law of your jurisdiction.
- Injunctive relief. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information without first engaging in the informal-resolution process.
18. Changes to these Terms
We may update these Terms at any time and at our sole discretion. If a change is material we will give you notice by email or through the Service at least fifteen (15) days before it takes effect, and the "Last updated" date and version number at the top of this page will be revised. Non-material clarifications are effective when posted. Your continued use of the Service after a change takes effect is your acceptance of the updated Terms. If you do not accept a change, your sole remedy is to stop using the Service and, if applicable, cancel your subscription before the change takes effect. Where applicable law requires your affirmative re-consent to a material change, we will obtain that re-consent before the change applies to you.
19. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, and Refund Policy, are the entire agreement between you and us concerning the Service and supersede any prior agreement on that subject.
- No waiver. Our failure to enforce a provision is not a waiver of that provision.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be enforced to the maximum extent permitted by law.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms (including to any successor entity such as a corporation formed from the current sole proprietorship) without restriction, and you consent to such assignment.
- Notices. We may give you notices by email to the address on your account or by in-app notification. You must give us notices by email to legal@jobsapply.app.
- Force majeure. We will not be liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemic, labour disputes, cyberattacks, internet or utility outages, or the acts or omissions of third-party providers.
- Relationship. These Terms do not create any partnership, joint venture, employment, or agency relationship between you and us, except the limited agency authorization you grant under Section 7 (Auto-Apply).
- Export control and sanctions. You must comply with all applicable export-control and sanctions laws (including those of Canada, the United States, the EU, and the UK). You represent that you are not located in, and will not use the Service from, a sanctioned jurisdiction.
- Language. These Terms are drawn up in English. A translation provided for convenience does not override the English version except where the mandatory law of your jurisdiction requires otherwise (for example, Quebec residents may request French-language service).
